1. Agreement to Terms

By accessing or using the website axxis-solutions.com ("Site") or engaging the services of Axxis Solutions ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our Site or services.

2. Services

Axxis Solutions provides custom software development, web and mobile application development, cloud and DevOps consulting, UI/UX design, AI and data solutions, and related technology consulting services. The specific scope, deliverables, timeline, and fees for any engagement will be outlined in a separate project agreement or statement of work ("SOW") mutually agreed upon by both parties.

3. Project Agreements

All client engagements are governed by a separate SOW or project agreement that includes:

• Detailed scope of work and deliverables
• Project timeline and milestones
• Pricing, payment schedule, and terms
• Intellectual property ownership and licensing
• Acceptance criteria and revision procedures

In the event of a conflict between these Terms and a signed SOW, the SOW shall prevail for that specific engagement.

4. Intellectual Property

Unless otherwise specified in a project agreement, upon full payment, the client receives ownership of all custom code, designs, and deliverables created specifically for their project. Axxis Solutions retains ownership of pre-existing tools, frameworks, libraries, and reusable components ("Company IP") that may be incorporated into deliverables, with a perpetual, non-exclusive license granted to the client for use within the project scope.

5. Payment Terms

Payment terms are specified in each project agreement. General terms include:

• Invoices are due within 15 days of issuance unless otherwise agreed
• Late payments may incur a 1.5% monthly interest charge
• We reserve the right to pause work on accounts with overdue balances exceeding 30 days
• All fees are in US Dollars unless otherwise specified

6. Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide timely feedback, approvals, and required materials
• Designate a primary point of contact for the project
• Ensure that all content and materials provided do not infringe on third-party rights
• Provide access to necessary systems, accounts, and environments

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, technical specifications, source code, user data, and any information marked as confidential. This obligation survives the termination of any agreement for a period of two (2) years.

8. Warranties and Disclaimers

Axxis Solutions warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. We will make reasonable efforts to correct any defects identified within 30 days of delivery at no additional cost.

Except as expressly stated herein, all services and deliverables are provided "as is." We make no warranties, express or implied, regarding merchantability, fitness for a particular purpose, or non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Axxis Solutions' total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages.

10. Termination

Either party may terminate an engagement with 30 days' written notice. Upon termination, the client is responsible for payment of all work completed and expenses incurred up to the termination date. We will deliver all completed work product upon receipt of final payment.

11. Website Use

The content on our Site, including text, graphics, logos, and images, is the property of Axxis Solutions and is protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works from our Site content without written permission.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of laws provisions. Any disputes arising from these Terms shall be resolved in the courts located in Guilford County, North Carolina.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting to the Site. Continued use of the Site after changes constitutes acceptance of the updated Terms.
